Host Terms and Conditions

INTRODUCTION AND SCOPE

These Host Terms and Conditions (“Host Agreement”) establish the legally binding obligations governing the participation of any individual or entity (“Host”) who registers, applies, or engages as a content creator, streamer, broadcaster, presenter, or monetized host on the Boxer Live platform operated by Boxer Live (“Boxer Live” or the “Company”).

This Host Agreement supplements, and shall be read together with, the Boxer Live Terms and Conditions.

HOST ELIGIBILITY REQUIREMENTS

To qualify and remain eligible as a Host, the individual must:

Be at least 18 years of age;

Successfully complete identity verification;

Possess full legal capacity;

Not be prohibited from participating under applicable laws.

The Company retains the sole discretion to approve or reject Host applications.

INDEPENDENT CONTRACTOR STATUS

All Hosts operate strictly as independent contractors. Nothing in this Agreement shall be construed as creating an employment relationship, partnership, agency, or joint venture between Boxer Live and any Host.

Hosts are not entitled to any form of salary, benefits, insurance, or pension. Hosts bear full responsibility for their own taxes, insurance, and legal compliance.

HOST CONTENT STANDARDS AND OBLIGATIONS

Hosts agree to:

Produce and disseminate lawful content;

Maintain professional conduct at all times;

Strictly comply with all platform policies and community guidelines.

Hosts are expressly prohibited from broadcasting or promoting content involving:

Illegal activities;

Pornography or sexually explicit material;

Violence;

Scams or fraudulent schemes;

Unauthorized gambling services or related activities.

CONTENT OWNERSHIP AND LICENSE GRANT

Hosts retain full ownership of their original content. Notwithstanding such ownership, the Host hereby grants Boxer Live an irrevocable, perpetual, worldwide, royalty-free, and transferable license to:

Broadcast;

Promote;

Advertise;

Redistribute;

Monetize the Host’s content in accordance with Boxer Live’s commercial operations.

This license survives termination of the Host’s account or Agreement.

PLATFORM OWNERSHIP

All rights, title, and interest in and to the Boxer Live platform, including its technology, algorithms, branding, and user base, remain the exclusive property of the Company.

Hosts acquire no ownership rights in the platform.

MONETIZATION OPPORTUNITIES

Eligible Hosts may earn revenue through:

Virtual gifts;

Donations;

Event prizes;

Sponsorships arranged by Boxer Live;

Brand collaborations facilitated through the platform.

REVENUE SHARE AND DEDUCTIONS

Boxer Live shall pay Hosts a percentage of their eligible earnings, with the Company retaining the right to determine and modify revenue-sharing structures at its discretion.

The following may be deducted from Host earnings:

Platform commissions;

Processing fees;

Applicable taxes.

PAYOUT CONDITIONS

Payment of Host earnings is subject to:

Minimum payout threshold of .....;

Successful identity verification;

Compliance reviews by Boxer Live.

TAX RESPONSIBILITY

Hosts bear sole responsibility for:

Declaring income earned from Boxer Live;

Paying all applicable taxes;

Complying with relevant tax laws.

Boxer Live may report Host earnings to relevant tax authorities, including the Federal Inland Revenue Service or applicable foreign bodies.

PROHIBITED CONDUCT AND FRAUD PREVENTION

Hosts are prohibited from:

Manipulating virtual gifts;

Using fake or fraudulent accounts;

Engaging in money laundering or related unlawful financial activities;

Misleading users;

Conducting off-platform payment arrangements intended to bypass platform fees.

Violations may result in forfeiture of funds, account termination, and legal action.

SPONSORSHIP AND BRANDING RESTRICTIONS

Hosts may not enter sponsorship arrangements that conflict with Boxer Live's interests or promote competing platforms without obtaining the Company’s prior written consent.

PLATFORM MODERATION AND ENFORCEMENT RIGHTS

Boxer Live reserves the absolute right to:

Remove content;

Suspend or restrict streaming activities;

Terminate Host accounts at its discretion, without incurring liability.

PROMOTIONAL AND PUBLICITY RIGHTS

The Host grants Boxer Live the right to use the Host’s name, image, voice, and content in connection with marketing, promotion, or advertising, without any obligation to provide additional compensation.

SUSPENSION AND FUND WITHHOLDING

Boxer Live may suspend a Host’s account due to policy violations, fraud, or legal risks. Funds may be withheld during and after suspension as necessary.

TERMINATION OF AGREEMENT

Either party may terminate this Agreement. Boxer Live reserves the right to terminate immediately at its discretion.

CONFIDENTIALITY

Hosts are prohibited from disclosing Boxer Live’s confidential information, including revenue structures, platform information, and trade secrets.

LIMITATION OF LIABILITY

Boxer Live shall not be liable for losses arising from:

Reduced viewership;

Platform downtime;

Loss of income or damages.

INDEMNIFICATION

Hosts shall indemnify and hold Boxer Live harmless from all claims arising out of:

Host content;

Host conduct or actions.

NON-CIRCUMVENTION

Hosts shall not divert Boxer Live users off-platform or otherwise engage in activities designed to circumvent the Boxer Live ecosystem.

GOVERNING LAW

This Host Agreement shall be governed by the laws of the Federal Republic of Nigeria.

DISPUTE RESOLUTION

Any dispute arising under or in connection with this Agreement shall be resolved by arbitration seated in Lagos, Nigeria.
