These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and Boxer Live , a company incorporated under the laws of the Federal Republic of Nigeria (“Boxer Live”, “Company”, “we”, “us”, or “our”), governing your access to and use of the Boxer Live platform, website, mobile application, and related services (collectively, the “Platform”).

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree, you must immediately discontinue use.

DEFINITIONS

For purposes of these Terms:

1.1 “Account” means a registered user profile created to access the Platform.

1.2 “Content” means all audio, video, images, text, livestreams, broadcasts, and other materials uploaded, streamed, or shared by users.

1.3 “Creator” means any User who streams, uploads, or publishes content on the Platform.

1.4 “Moderator” means a User assigned moderation privileges during livestreams or community interactions.

1.5 “Virtual Goods” means digital items (including coins, virtual gifts, rewards, badges, etc.) purchased or earned on the Platform.

1.6 “Services” means all features, tools, and functionalities provided through the Platform.

ELIGIBILITY

2.1 You must be at least eighteen (18) years old to use the platform.

2.2 By using the Platform, you represent and warrant that:

You have full legal capacity to enter into this agreement.

You are not prohibited or restricted under any applicable law from using the Platform.

All information provided is true, accurate and complete.

2.3 Boxer Live reserves the right to request proof of age and identity at any time.

Failure to provide verification may result in suspension or termination from using our platform.

ACCOUNT REGISTRATION AND SECURITY

3.1 To access certain services, you must create an account.

3.2 You agree to:

Provide accurate and current and complete registration information;

Maintain and promptly update your information.

Maintain confidentiality of your login credentials.

Promptly notify Boxer Live of any suspected unauthorized access to your account.

3.3 You are solely responsible for all activities occurring through your account.

3.4 Boxer Live is not liable for losses arising from unauthorized use.

PLATFORM SERVICES

4.1 This Platform enables:

Livestreaming and content broadcasting;

Audience interaction through comments, chats, and virtual gifts;

Creator monetization features;

Social and entertainment activities.

4.2 Boxer Live reserves the right to modify, suspend, or discontinue any feature or service at any time without notice.

4.3 The Platform is provided on an “as-is” and “as-available” basis and may experience interruptions, delays, or errors.

USER CONDUCT AND PROHIBITED ACTIVITIES

5.1 You agree NOT to upload, stream, post or share content that is:

Illegal or unlawful;

Pornographic, sexually explicit or exploitative;

Violent or promotes discrimination;

Promoting hate speech;

Defamatory or harassing;

Infringing upon copyright or intellectual property rights.

5.2 You further agree not to engage in:

Fraud, scams or misrepresentation;

Money laundering;

Terrorism financing;

Impersonation of any person or entity;

Unauthorized commercial activities;

Attempts to hack, disrupt or interfere with the platform’s security or functionality.

5.3 Boxer Live may remove any content that violates these Terms or applicable law.

CONTENT OWNERSHIP AND LICENSE

6.1 Creators retain ownership of their user-generated content.

6.2 License granted to Boxer Live:

By uploading or streaming content on the Platform, you grant Boxer Live a worldwide, irrevocable, royalty-free, perpetual, transferable and sub-licensable license to:

Use

Reproduce

Modify

Distribute

Display

Promote

Monetize

Such content in connection with the Platform and Boxer Live’s business operations. content.

6.3 Content Removal and License Survival: If you delete content, the license granted to Boxer Live continues with respect to:

Prior uses of the content;

Backup storage;

Content used in promotional or commercial materials;

Legal and compliance requirements.

6.4 Boxer Live may access, review, remove content for safety, legal compliance or violation of our terms.

VIRTUAL GOODS AND PAYMENTS

7.1 Users may purchase or earn Virtual Goods on the Platform.

7.2 Virtual items purchased on boxer live:

Have no real-world monetary value;

Are non-transferable between users or accounts;

Are non-refundable except where required by law.

7.3 Boxer Live may change pricing, availability or functionality of virtual goods at any time.

7.4 Cryptocurrency payments are limited to $20-$100 daily and international transactions are limited to $1,000 daily.

7.5 For proper verification of funds before disbursement, there shall be a compulsory hold period of 72 hours to rectify any payment issue that may arise.

7.6 All payment information must be accurate and lawful. Boxer Live is not responsible for third-party payment processor errors.

8. ACCOUNT SUSPENSION AND TERMINATION

8.1 Boxer Live may suspend or terminate your account if:

You violate these Terms;

Fraud or any suspicious activity is detected;

Required by law or regulatory authorities;

Safety or security risks are identified.

8.2 Boxer Live may, but is not required to, notify you before suspension or termination.

8.3 Users may request reinstatement through support, but Boxer Live has sole discretion to accept or reject such requests.

8.4 Funds or Virtual Goods may be withheld during investigations into misconduct or fraud.

9. INTELLECTUAL PROPERTY RIGHTS

9.1 All intellectual property rights in the Platform, including software, logos, and technology, are the exclusive property of Boxer Live. Unauthorized use is prohibited.

9.2 Creators retain copyright in their user-generated content; however, such ownership remains subject to the license granted to Boxer Live under Clause 6.

10. DISCLAIMER OF WARRANTIES

10.1 The Platform is provided “as-is” and without warranties of any kind, whether express or implied. 10.2 Boxer Live does not guarantee:

Continuous or error-free operation;

Accuracy or reliability of content;

Security against unauthorized access;

Compatibility with all devices.

10.3 Use of the Platform is at your sole risk.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Boxer Live shall not be liable for: Loss of income, loss of profits, Loss of data or business opportunities, indirect, consequential or punitive damages.

Maximum liability upon conviction by a competent court of law, is limited to the total amount paid by the user within the preceding two (2) months.

12. INDEMNIFICATION

You agree to indemnify and hold Boxer Live harmless from any claims, damages, liabilities and expenses arising from Your content, Your conduct on our platform and any violation of these Terms or applicable laws.

13. GOVERNING LAW

These Terms shall be governed by the laws of the Federal Republic of Nigeria, except were prohibited by mandatory local laws applicable to users in other jurisdictions.

14. DISPUTE RESOLUTION

14.1In case of any dispute, parties shall first attempt amicable settlement.

14.2 If unresolved, dispute shall be resolved by arbitration in Lagos, Nigeria, pursuant to the Arbitration and Mediation Act 2023. Arbitration shall be final and binding.

15. MODIFICATION

Boxer Live may amend these Terms at any time. Updated Terms take effect upon posting. Continued use of the Platform constitutes acceptance of the revised Terms.
